Terms of Service

1. Acceptance of Terms

Welcome to Sun-BD Stock Market Auto Big Data System (the "Service"), operated by Sun-BD (the "Company"). By registering an account, purchasing points, subscribing to a plan, or downloading and using our Windows desktop application, Android mobile application, or web service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy.

If you do not agree with any part of these Terms, please discontinue use of the Service immediately. The Company reserves the right to revise these Terms at any time. Material changes will be announced on the website or via email. Continued use after such revisions constitutes acceptance of the updated Terms.

Note: In the event of any inconsistency between the English and Chinese versions of these Terms, the Traditional Chinese version shall prevail.

2. Service Description

The Service is a quantitative trading analysis tool providing the following core capabilities:

• Multi-period quantitative structure engine and market phase recognition
• Automated analysis integrating 12+ technical indicators
• AI equation model generation and back-test verification
• Smart risk management with dynamic stop-loss / take-profit suggestions
• Theme strategy engine and cloud quantitative hosting

The Service provides analytical results and trading signals for reference only and does not execute trades on behalf of any user. It does not access or control user trading accounts. All actual order placement, fund management, and investment decisions remain the user's sole responsibility.

3. Account Registration & Eligibility

3.1 Eligibility

• Users must be at least 20 years old and have full legal capacity
• Registration requires real name, valid email, and mobile phone number
• One account per user; duplicate registrations are prohibited
• Use of another person's identity or fictitious data is prohibited

3.2 Account Security

• Users are responsible for safeguarding account credentials and for all activity under their account
• Passwords must meet system strength requirements (minimum 8 characters, including upper- and lower-case letters and digits)
• Suspected unauthorized access must be reported immediately to contact@sun-bd.com
• The Company will assist within reasonable scope but is not liable for losses incurred prior to notification

4. Points & Subscription Plans

4.1 Points Purchase

The Service operates on a prepaid points model. Users may select plans on the payment page. Plan amounts, bonus points, and discount ratios are as published on the payment page. The Company reserves the right to adjust plan content, pricing, and offer limited-time promotions.

4.2 Subscription Plans

• Subscription periods run from activation date to expiration date
• During the subscription period, included features may be used without limit
• Premium features deactivate automatically upon expiration if not renewed
• Subscriptions do not auto-renew; renewal must be initiated by the user

4.3 Refund Terms

Conditions, application procedures, and processing times for points and subscription refunds are detailed in the Refund Policy.

5. User Obligations

By using the Service, you agree NOT to:

• Use the Service for any activity violating laws of the Republic of China (Taiwan)
• Reverse engineer, decompile, or disassemble the Service
• Distribute, resell, or lease the Service or its derivatives without authorization
• Use automated programs, scrapers, or bots to extract Service content in bulk
• Interfere with or disrupt the Service or its servers / networks
• Impersonate others, transmit malware, or engage in any cybersecurity-threatening behavior
• Use analytical results as a basis for providing investment advice to others (uses beyond personal require separate authorization)

6. Intellectual Property

All Service content — including but not limited to algorithms, source code, quantitative models, UI design, trademarks, logos, text, images, and API design — is the property of the Company or its licensors, protected under copyright, trademark, and related laws.

The Company grants users a non-exclusive, non-transferable, revocable license to use the Service subject to compliance with these Terms. Any reproduction, modification, distribution, public transmission, or commercial use without written consent constitutes infringement.

7. Investment Risk Warning

Analytical results and trading signals provided by the Service are for reference only and do not constitute investment advice, solicitation, or offer of any kind. Trading in stocks, futures, options, and derivative financial instruments involves high risk and may result in partial or total loss of principal. Past performance and back-test results do not guarantee future returns.

Users should carefully evaluate their financial condition, investment experience, and risk tolerance, and consult qualified financial or legal professionals when necessary. Any investment decision and its consequences based on Service information are the sole responsibility of the user. The Company bears no liability for such decisions.

8. Service Modification & Interruption

The Company reserves the right to modify, suspend, or terminate the Service (or any part thereof) at any time without prior notice. The Company shall not be liable to users or third parties under the following circumstances:

• System maintenance, upgrades, or updates
• Force majeure (natural disasters, war, government orders)
• Interruption of network, electricity, or third-party services (cloud hosting, payment, telecom)
• Cyber attacks or other security incidents
• Adjustment or termination of features required by changes in law

9. Limitation of Liability

To the maximum extent permitted by law:

• The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Company does not warrant the Service to be error-free, uninterrupted, absolutely secure, or fully suited to specific user needs
• The Company shall not be liable for any direct, indirect, incidental, or consequential damages (including but not limited to investment loss, lost profits, data loss) arising from use of or inability to use the Service
• In all cases, the Company's cumulative liability shall not exceed the total fees actually paid by the user to the Company in the 12 months preceding the disputed event

10. Account Termination

The Company may suspend or terminate an account without refund under the following conditions:

• Violation of these Terms or applicable laws
• Provision of false information or impersonation
• Conduct harmful to the Service or other users
• Account inactivity for over 24 months

Users may also request account deletion at any time via contact@sun-bd.com. Following deletion, related data is handled in accordance with the Privacy Policy.

11. Privacy Protection

Collection, processing, and use of personal data are governed by the Privacy Policy. Use of the Service constitutes acceptance of that policy.

12. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of China (Taiwan). Any disputes arising shall be submitted to the exclusive jurisdiction of the Taiwan Taipei District Court as the court of first instance, without prejudice to mandatory consumer-protection venue rules.

13. Severability

If any provision of these Terms is held invalid or unenforceable by a competent authority, the remaining provisions shall remain in effect. The invalid provision shall be reinterpreted or replaced in a lawful, enforceable manner closest to the original intent.
